Terms of Service & Privacy Policy

Plain‑English summary (not a substitute for the legal terms): Use MingLLM responsibly. You own your inputs and (subject to applicable law) your outputs. We don’t use your Customer Content to train our models unless you opt in. We collect only what’s needed to run and secure the service. Contact support@mingllm.com for any questions.


Part I — Terms of Service #

1. Who We Are #

MingLLM, LLC ("MingLLM", "we", "our", or "us") provides AI‑powered software and APIs (the "Services"). Contact us at support@mingllm.com.

2. Acceptance of Terms #

By creating an account, integrating our APIs, or otherwise using the Services, you agree to these Terms. If you are agreeing on behalf of an entity, you represent that you have authority to bind that entity.

3. Eligibility #

You must be the age of majority in your jurisdiction and capable of forming a binding contract. You may not use the Services if prohibited by applicable laws or sanctions.

4. Accounts, Security & Admins #

  • Provide accurate registration information; keep credentials and API keys secure; notify us of suspected compromise.
  • For organizations, designated administrators manage user access and billing. You are responsible for activity under your account.

5. Access; APIs & Rate Limits #

  • We grant a limited, non‑exclusive, non‑transferable right to use the Services per these Terms and any plan limits or documentation.
  • We may implement or adjust technical limits (e.g., rate limits, token caps, storage quotas) to ensure quality and security.
  • You will not (i) reverse engineer or attempt to extract model weights; (ii) bypass access controls; (iii) resell or sublicense unless permitted.

6. Your Content: Inputs & Outputs #

  • Inputs are prompts, files, and data you or your end users submit. Outputs are model‑generated results. Together, Customer Content.
  • Ownership. You own your Inputs and, subject to applicable law and third‑party rights, your Outputs. Review Outputs for accuracy and appropriateness before use.
  • Similar Outputs. Due to the statistical nature of generative AI, outputs may be similar or identical for different users.
  • License to Operate. You grant us a limited license to process Customer Content solely to provide and secure the Services and to comply with law.

7. Data Use for Model Improvement #

  • Default: We do not use Customer Content to train or fine‑tune our foundation models unless you opt in.
  • If you opt in, we may use Customer Content for research and model improvement with de‑identification where feasible. You can withdraw at any time; prior processing remains lawful.
  • Telemetry. We collect aggregated, de‑identified usage metrics to operate and improve the Services.

8. Acceptable Use Policy #

  1. Don’t violate laws or rights of others; no fraud, deception, or harassment.
  2. No generation or dissemination of malware; child exploitation; non‑consensual intimate imagery; instructions facilitating violent or illegal acts; or content that infringes IP, privacy, or publicity rights.
  3. No high‑risk uses (e.g., medical diagnosis/treatment, critical infrastructure, autonomous vehicle control).
  4. Don’t misrepresent AI Outputs as human‑generated where disclosures are required; no deceptive deepfakes without consent.
  5. No attempts to extract sensitive data from models or to mislead users about the Services.
  6. No scraping or harvesting personal data without proper notice and consent; use only documented APIs.
  7. No interference with service integrity or security (e.g., DDoS, overage load tests, abuse of free tiers).
  8. No circumvention of limits or benchmarking for competitive purposes without our consent.

9. Confidentiality #

Each party may access the other’s confidential information. The receiving party will use it only to perform under these Terms, protect it using reasonable measures, and not disclose it except to personnel and service providers who need to know and are bound by confidentiality obligations.

10. Fees, Billing & Taxes #

  • Fees. You agree to pay fees per our then‑current pricing or order form. We may change prices with at least 30 days’ notice for recurring services.
  • Billing. Unless otherwise stated, charges are due at the end of each billing period and are non‑refundable. Late amounts may incur interest and collection costs.
  • Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes (excluding our income taxes).

11. Beta, Trial & Evaluation #

Beta or evaluation features are offered “as is” without guarantees and may change or be discontinued at any time. Additional terms may apply.

12. Intellectual Property; Feedback #

  • We and our licensors own the Services, models, and related IP. No rights are granted except as expressly set out in these Terms.
  • You grant us a royalty‑free, irrevocable license to use and incorporate Feedback into our products without restriction.

13. Third‑Party Services #

Enabling integrations involves third‑party terms and privacy policies. We are not responsible for third‑party services or how they handle your data.

14. Open Source Notices #

The Services may include open source software subject to applicable licenses. Notices will be made available upon request.

15. Warranty Disclaimer #

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, OR THAT OUTPUTS WILL BE ACCURATE OR ERROR‑FREE.

16. Limitation of Liability #

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) EACH PARTY’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO MINGLLM FOR THE SERVICES IN THAT PERIOD. NOTHING LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR LIABILITIES THAT CANNOT BE LIMITED BY LAW.

17. Indemnification #

You will defend, indemnify, and hold harmless MingLLM and its affiliates from claims arising out of or related to your use of the Services, Customer Content, or violation of these Terms or law.

18. Suspension & Termination #

We may suspend access for security reasons, non‑payment, or suspected violations. Either party may terminate for uncured material breach after notice or for convenience at the end of the current term. Upon termination, your right to use the Services ceases; sections intended to survive will remain in effect. We may provide a limited export window for Customer Content where feasible.

19. Changes to the Services or Terms #

We may modify the Services and these Terms. Material changes will be notified via the Services or email at least 30 days before taking effect (unless addressing security, legal, or product emergencies). Continued use after changes take effect constitutes acceptance.

20. Export Controls & Sanctions #

You will comply with applicable export control and sanctions laws. You will not use the Services in or for the benefit of embargoed or sanctioned countries or persons and will not transfer technical data in violation of such laws.

21. Governing Law; Dispute Resolution #

These Terms are governed by the laws of the State of California, USA, excluding its conflict of law rules. The exclusive venue for disputes is the state or federal courts located in San Francisco County, California, and the parties consent to personal jurisdiction there.

22. DMCA & IP Complaints #

If you believe content infringes your copyright, email support@mingllm.com with: (i) identification of the copyrighted work; (ii) identification of the material claimed to be infringing; (iii) your contact information; (iv) a statement of good‑faith belief; (v) a statement under penalty of perjury regarding accuracy and authority; and (vi) your physical or electronic signature. We may remove content and terminate repeat infringers.

Part II — Privacy Policy #

A. Scope #

This Privacy Policy explains how MingLLM processes personal data when you visit our websites, use our Services, or interact with us. It does not apply to third‑party services you connect to the Services.

B. Personal Data We Collect #

  1. Provided by you: name, email, password, organization info, billing details, content of messages/prompts/files, support requests, feedback, job applications.
  2. Collected automatically: IP address, device and browser type, operating system, pages viewed and timestamps, referring/exit pages, performance and diagnostic logs, security signals.
  3. From third parties: identity providers (SSO), integration partners, payment processors, marketing/event partners, publicly available sources.

Sensitive data: We don’t require sensitive personal data. If you submit it in prompts or files, you are responsible for having a lawful basis and appropriate safeguards.

C. Cookies & Similar Technologies #

We use only essential cookies and first‑party analytics that do not track you across unrelated sites. You can control cookies via your browser settings. We honor Global Privacy Control (GPC) signals where required.

D. How We Use Personal Data #

  • Provide, secure, and troubleshoot the Services.
  • Authenticate users; prevent fraud, abuse, and security incidents.
  • Process transactions and send service/billing communications.
  • Develop new features; conduct research and analytics.
  • Personalize content where permitted.
  • Comply with legal obligations and enforce our Terms.
  • If you opt in, improve models using Customer Content as described in the Terms.

Where GDPR applies, we rely on one or more of: performance of a contract; legitimate interests (e.g., to secure and improve the Services); consent (e.g., certain analytics); and legal obligation.

F. When We Share Personal Data #

  • Service providers: cloud hosting, security, support, analytics, communications, and payment processing, under contracts limiting use to our instructions.
  • Affiliates: for operational purposes consistent with this Policy.
  • Legal: to comply with law, enforce agreements, or protect rights, safety, and property.
  • Business transfers: in connection with a merger, acquisition, or asset sale (we will notify you of material changes).
  • Integrations: when you connect an integration, we share data necessary to enable it, per your instructions.

We do not sell personal information and do not share personal information for cross‑context behavioral advertising.

G. International Data Transfers #

We operate globally. Where required, we use appropriate safeguards for cross‑border transfers, such as Standard Contractual Clauses.

H. Retention #

We retain personal data for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce agreements. Unless you request earlier deletion, we generally retain: (i) application logs for up to 30 days; (ii) account and billing records for up to 24 months; and (iii) support correspondence for up to 18 months. We may retain aggregated or de‑identified data for longer.

I. Security #

We employ administrative, technical, and physical safeguards appropriate to the nature of the data we process. These include (without limitation):

  • Encryption in transit and, where applicable, at rest.
  • Granular access controls, least‑privilege permissions, and periodic access reviews.
  • Logging and monitoring to detect abuse, misuse, and anomalous activity.
  • Secure software development practices, vulnerability management, and incident response procedures.

Report a vulnerability: Email support@mingllm.com with a description and steps to reproduce. We will acknowledge receipt, investigate, and take appropriate action. Please avoid public disclosure until we have addressed the issue.

No security control is perfect. You should use strong, unique passwords, enable multi‑factor authentication, and avoid submitting unnecessary sensitive data in prompts and files.

J. Your Rights & Choices #

Depending on your location, you may have the following rights over your personal data:

  • Access — request a copy of the personal data we hold about you.
  • Correction — request that we correct inaccurate or incomplete data.
  • Deletion — request that we delete certain personal data.
  • Portability — request that we provide your data in a portable format.
  • Restriction/Objection — request that we restrict or stop certain processing.
  • Withdraw consent — where processing is based on consent, withdraw that consent at any time.
  • Appeal (certain U.S. states) — appeal our decision on your request.

How to exercise: email support@mingllm.com. Please specify the right you wish to exercise and the email address associated with your account. We may request information to verify your identity and will respond within the time required by law.

  • Marketing communications: You can unsubscribe using the link in our emails or by contacting us.
  • Cookies/analytics: Control through your browser settings and Global Privacy Control (GPC) signals (which we honor where required).
  • Authorized agents (CA): You may authorize an agent to submit requests on your behalf; we will verify the agent’s authority.

K. Children’s Privacy #

Our Services are not directed to children, and we do not knowingly collect personal data from children. If you are a parent or guardian and believe your child has provided personal data to us, please contact support@mingllm.com. We will take steps to delete such information and, as applicable, terminate the account.

L. California & US State Notices #

Notice at Collection (California): We collect identifiers (e.g., name, email, IP), commercial information (transaction history), internet/network activity (usage logs), approximate geolocation, and inferences (service personalization). See the sections above for sources, purposes, and retention periods.

Your California rights: access, deletion, correction, portability, and the right to opt out of the sale or sharing of personal information and targeted advertising. We do not sell personal information and do not share personal information for cross‑context behavioral advertising.

Other U.S. states (e.g., CO, CT, UT, VA): You may have similar rights, including a right to appeal our decision on your request. To appeal, email support@mingllm.com with the subject line “Privacy Request Appeal.” We will respond within the time required by applicable law.

Non‑discrimination: We will not discriminate against you for exercising your privacy rights.

M. Automated Decisions & Profiling #

We do not make decisions that produce legal or similarly significant effects based solely on automated processing of personal data. We may use automated systems to detect abuse, combat spam, and secure accounts; these systems are subject to human oversight.

N. Subprocessors & DPA #

We use service providers (subprocessors) to operate the Services, such as cloud hosting, security, communications, analytics, and email delivery. When acting as a processor for business customers, we process personal data only on their documented instructions.

For an up‑to‑date list of subprocessors or to request our Data Processing Addendum (which includes appropriate transfer mechanisms where required), email support@mingllm.com. We will provide reasonable notice of material changes to our subprocessors.

O. Changes to this Policy #

We will update this page to reflect changes to our privacy practices. For material changes, we will provide additional notice via the Services or email before the change becomes effective. The “Last Updated” date at the top of this page reflects the most recent revision. Your continued use of the Services after the effective date constitutes acceptance of the updated Policy.

Email support@mingllm.com for privacy questions, data rights requests (access, deletion, correction, portability, objection/restriction), appeals, or security reports. If you contact us about a rights request, please include the email associated with your account and the specific request type.
